CoinLark Terms of Use

1. Introduction and Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the CoinLark platform ("CoinLark", "we", "us", or "our"), including the website located at coinlark.com, any related mobile applications, and all associated tools, features, content, data, analytics, community functions, news, and quest-based programs (collectively, the "Platform").

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, and any additional policies referenced herein, including the Privacy Policy, Disclaimer, and Community Policy. If you do not agree to these Terms, you must immediately discontinue access to and use of the Platform.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and CoinLark. CoinLark reserves the right to modify or update these Terms at any time, and your continued use of the Platform following any such changes constitutes acceptance of the revised Terms.

2. Definitions

For the purposes of these Terms, the following definitions apply:

CoinLark: means the digital platform, website, application operated by CoinLark, and named as CoinLark.
Company: means the entity that owns and operates the CoinLark Platform.
Platform: means CoinLark and all related tools, features, content, data, analytics, community services, news and quest-based programs.
User/you/your: means any individual or entity that accesses or uses the Platform.
Account: means a registered user account created to access certain features of the Platform.
Content: means any text, data, information, graphics, images, links, software, or other materials made available on the Platform, whether provided by the Company or by Users.
User-Generated Content: means any Content submitted, posted, uploaded, published, or otherwise made available by Users through the Platform, including posts, comments, messages, or other community contributions.
Cryptocurrency/Digital Asset: means any blockchain-based digital token, coin, or asset, including but not limited to cryptocurrencies, utility tokens, or governance tokens.
Market Data: means pricing information, market capitalization, supply data, trading volume, technical indicators, analytics, and other related metrics displayed on the Platform.
Quest: means any task, campaign, or activity made available on the Platform that allows Users to earn points, rewards, or increased visibility for certain Content, projects, or Digital Assets.
Heat/Heating/Visibility Feature/Quest/Campaign: means any mechanism that increases the prominence, ranking, or exposure of Content, projects, CryptoCurrency or Digital Assets on the Platform, whether through quests, campaigns, or other promotional tools.
Third-Party Services: means any services, data providers, APIs, platforms, or websites operated by parties other than CoinLark and integrated into or linked from the Platform.

3. Eligibility and User Representations

By accessing or using the Platform, you represent and warrant that you are at least the minimum legal age required to form a binding contract under the laws applicable to you and that you have the full legal capacity, authority, and right to enter into and comply with these Terms. If you are accessing or using the Platform on behalf of an entity or organization, you further represent and warrant that you have the authority to bind such entity to these Terms.

You represent and warrant that your access to and use of the Platform is lawful in your jurisdiction and does not violate any applicable laws, regulations, directives, or rules, including but not limited to those relating to financial services, digital assets, cryptocurrencies, securities, data protection, consumer protection, or online conduct. You are solely responsible for determining whether the Platform and any features or services offered through it are permitted for use under the laws applicable to you.

You acknowledge and agree that the Platform does not target, solicit, or intentionally offer services to individuals or entities located in jurisdictions where the use of cryptocurrency-related platforms, digital asset information services, or similar services is prohibited, restricted, or subject to regulatory approval. CoinLark does not represent or warrant that the Platform is appropriate, available, or lawful for use in any particular jurisdiction.

CoinLark reserves the right, at its sole discretion and without prior notice, to restrict, suspend, or deny access to the Platform or any portion of the Platform to Users located in certain jurisdictions, or to any User, if CoinLark determines that such access may result in legal, regulatory, or compliance risks.

You further represent and warrant that all information you provide in connection with your use of the Platform is accurate, complete, and not misleading, and that you will promptly update such information if it becomes inaccurate or incomplete.

4. Account Registration and Security

Certain features of the Platform require you to create and maintain an account. When registering for an account, you agree to provide information that is accurate, complete, and up to date, and to promptly update such information if it changes. You acknowledge that providing false, misleading, or incomplete information may result in the suspension or termination of your account.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your login information and any other access details associated with your account. You agree not to share your credentials with any third party and to take reasonable measures to prevent unauthorized access to your account.

CoinLark is committed to protecting user privacy. CoinLark will not provide, sell, or disclose any information that is not publicly displayed on your CoinLark profile to third parties. This includes information that you have not chosen to publish on your profile or that you have configured with restricted visibility settings, such as "only me", "anonymous" or equivalent privacy controls.

You acknowledge and agree that you are responsible for all activities conducted through your account, whether authorized by you or not. CoinLark shall not be liable for any loss or damage arising from unauthorized access to or use of your account resulting from your actions, omissions, or failure to maintain adequate security measures.

You agree to notify CoinLark promptly if you become aware of any unauthorized access to your account, loss of credentials, or other security incident. CoinLark reserves the right, at its sole discretion, to suspend, restrict, or terminate your account or access to certain features if CoinLark reasonably believes that your account has been compromised, misused, or used in violation of these Terms.

CoinLark may implement reasonable security measures to protect the Platform and user accounts; however, you acknowledge that no system is completely secure and that CoinLark does not guarantee absolute security of accounts or data.

5. Description of Services

5.1 Market Data and Analytics

The Platform provides access to cryptocurrency-related information and analytics, including but not limited to pricing information, market capitalization, supply data, trading volume, technical indicators, analytics, and other related metrics displayed on the Platform (collectively, the "Market Data"). Market Data displayed on the Platform is sourced from third-party providers and is delayed, incomplete, or inaccurate.

CoinLark does not guarantee the accuracy, reliability, completeness, or timeliness of any Market Data and takes no responsibility for errors, omissions, or interruptions in the availability of such data.

5.2 Community Features

The Platform offers community features that allow Users to post, vote, share (or repost), react, comment on, or otherwise interact with Content related to cryptocurrencies, projects, or Digital Assets. All community content is provided by Users and does not represent the views, opinions, or endorsements of CoinLark.

CoinLark does not monitor or verify all User-Generated Content and shall not be responsible for the accuracy, legality, or reliability of any content posted by Users on the Platform.

5.3 Quests, Campaigns and Visibility Features

The Platform may offer quests, campaigns, or other features that allow Users or projects to increase the visibility, ranking, or exposure of certain Cryptocurrencies, Digital Assets, or Content ("Visibility Features" or "Heating"). Participation in any quests or Visibility Features is optional and does not constitute an endorsement, recommendation, or validation of any cryptocurrency, token, or project by CoinLark.

Visibility Features are intended solely to enhance user engagement and platform interaction and should not be interpreted as an indication of quality, legitimacy, or investment potential of any Digital Asset or Cryptocurrency.

6. Disclaimers, No Advice, and No Fiduciary Relationship

The Platform, including all Content, Market Data, analytics, tools, technical indicators, community discussion and content, user-generated content, quests, campaigns, and Visibility Features, is provided solely for informational, educational, and general reference purposes. Nothing made available on or through the Platform constitutes, or should be construed as, financial, investment, legal, tax, accounting, or trading advice, nor as an offer, solicitation, or recommendation to buy, sell, hold, or otherwise engage in any transaction involving cryptocurrencies or Digital Assets.

CoinLark does not act as a broker, dealer, investment adviser, financial institution, exchange, clearinghouse, or intermediary of any kind, and does not provide personalized or individualized advice. The Platform does not assess the suitability, appropriateness, or risk profile of any Digital Asset, Cryptocurrency, project, or transaction for any User. Your use of the Platform does not create any fiduciary relationship, advisory relationship, agency relationship, partnership, or joint venture between you and CoinLark.

You acknowledge and agree that all information and Content provided through the Platform may be incomplete, outdated, delayed, or inaccurate, and that cryptocurrency markets are inherently volatile, speculative, and subject to rapid and unpredictable changes. Any reliance you place on Market Data, analytics, community content, rankings, scores, or Visibility Features is strictly at your own risk.

You further acknowledge and agree that any decisions, actions, or transactions you undertake based on information obtained through the Platform are made independently and at your sole discretion. CoinLark does not control, direct, approve, or verify any investment decisions made by Users and shall not be responsible or liable for any losses, damages, liabilities, or other consequences arising directly or indirectly from your use of, or reliance on, the Platform or any Content made available through us.

7. Risk Disclosure and Market Volatility

You acknowledge and agree that cryptocurrencies and Digital Assets are inherently speculative, highly volatile, and involve a substantial degree of risk. The value of Digital Assets may fluctuate rapidly and unpredictably due to a wide range of factors, including but not limited to market sentiment, liquidity conditions, technological developments, protocol changes, security incidents, regulatory actions, macroeconomic events, and other factors beyond the control of CoinLark. As a result, you may experience significant losses and may lose some or all of the value associated with any Digital Asset.

The Platform does not guarantee the availability, performance, security, functionality, or continued existence of any cryptocurrency, Digital Asset, project, protocol, smart contract, or blockchain network. Digital Assets and related technologies are subject to numerous risks, including but not limited to extreme price volatility, low or fluctuating liquidity, smart contract bugs or vulnerabilities, protocol failures, consensus failures, network congestion, forks, upgrades, attacks, or exploitation, cybersecurity incidents, and operational or technical failures.

You further acknowledge that regulatory treatment of cryptocurrencies and Digital Assets is uncertain and evolving in many jurisdictions. Changes in laws, regulations, regulatory guidance, enforcement actions, or governmental policies may materially and adversely affect the availability, legality, functionality, or value of Digital Assets or the ability of Users to access or use certain features of the Platform.

You acknowledge and agree that information displayed on the Platform, including Market Data, analytics, indicators, rankings, scores, community content, quests, campaigns, and Visibility Features, may be derived from third-party sources, automated systems, or blockchain data and may not reflect real-time market conditions. Such information may be incomplete, delayed, inaccurate, or subject to errors, interruptions, or discrepancies.

Any reliance you place on information obtained through the Platform is strictly at your own risk. CoinLark does not verify, validate, or guarantee the accuracy, completeness, timeliness, or reliability of any information made available through the Platform and shall not be responsible or liable for any losses, damages, or consequences arising from market movements, data inaccuracies, technical failures, system outages, third-party service disruptions, or your use of or reliance on such information.

You acknowledge that participation in community discussions, quests, campaigns, rankings and other interactive features on CoinLark does not reduce or mitigate the risks associated with Digital Assets and should not be interpreted as an indication of quality, legitimacy, regulatory compliance, or future performance of any Digital Asset or project.

8. Permitted Use, Restrictions, and User Responsibilities

Subject to your compliance with these Terms, CoinLark grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform and the information made available through it solely for your personal, internal, and non-commercial purposes.

You agree that you will not use the Platform, or any Content, Market Data, analytics, rankings, scores, quests, or Visibility Features, in a manner that is misleading, deceptive, or reasonably likely to create the impression that any Digital Asset, project, or transaction is endorsed, verified, approved, or recommended by CoinLark. Any use of Platform information in connection with financial promotions, marketing materials, or investment-related communications is strictly prohibited without the prior written consent of CoinLark.

You may not copy, reproduce, modify, distribute, publish, transmit, sell, sublicense, lease, lend, or otherwise exploit any part of the Platform or its data for commercial purposes. You further agree not to scrape, harvest, crawl, index, or access the Platform through automated means, including bots, scripts, or data-mining tools, except where expressly authorized by CoinLark.

You are responsible for ensuring that your use of the Platform and any information obtained from it complies with all applicable laws and regulations. CoinLark reserves the right to monitor usage of the Platform and to suspend, restrict, or terminate access if it determines, in its sole discretion, that your use violates these Terms or poses a risk to the Platform, other Users, or third parties.

9. User Conduct and Acceptable Use

You agree to use the Platform in a lawful, respectful, and responsible manner and in accordance with these Terms. You are solely responsible for all activities conducted through your Account and for ensuring that your conduct does not harm the Platform, other Users, or third parties.

When using the Platform, you agree not to engage in any conduct that interferes with, disrupts, degrades, or adversely affects the integrity, performance, security, or availability of the Platform or any services, data, or features provided through it. This includes any attempt to circumvent safeguards, exploit vulnerabilities, or bypass technical or administrative controls implemented by CoinLark.

You further agree to use community features, quests, and Visibility Features in good faith and in a manner consistent with their intended purpose. Any attempt to manipulate rankings, visibility, engagement metrics, or user perception through coordinated activity, misleading behavior, or artificial means is strictly prohibited.

CoinLark reserves the right, but not the obligation, to investigate any suspected violation of this Section and to take appropriate action, including removing content, suspending or terminating accounts, restricting access to certain features, or taking legal action, at its sole discretion.

10. Prohibited Activities

You agree that you will not, directly or indirectly, engage in, attempt to engage in, encourage, facilitate, assist, or enable any of the following prohibited activities while accessing or using the Platform, whether for your own benefit or for the benefit of any third party.

10.1 Market Manipulation, Artificial Signals, and Misleading Behavior

Engaging in any conduct intended to manipulate, distort, or artificially influence market perception, sentiment, behavior, or decision-making related to any Digital Asset, Cryptocurrency, project, or protocol.
Creating, amplifying, or disseminating artificial signals of demand, popularity, legitimacy, credibility, or investment potential.
Coordinating or participating in organized efforts to influence rankings, scores, visibility, sentiment, or user perception through misleading or deceptive means.
Using the Platform to promote or support wash trading, fake volume, spoofing, or other deceptive trading practices, whether on or off the Platform.
Selectively presenting information, omitting material facts, or framing data in a misleading manner to influence user behavior.

10.2 Abuse of Quests, Campaigns, Rewards

Exploiting, gaming, manipulating, or attempting to manipulate quests, campaigns, rewards, rankings, scoring mechanisms, or Visibility Features.
Circumventing or attempting to bypass eligibility requirements, participation limits, cooldowns, anti-abuse controls, or other safeguards associated with quests or campaigns.
Creating, using, or controlling multiple accounts, identities, wallets, or proxies to gain unfair advantages or additional rewards.
Offering, providing, or soliciting incentives, payments, benefits, or compensation to artificially influence engagement, participation, voting, or visibility outcomes.
Using quests or Visibility Features in a manner inconsistent with their stated purpose or intended use.

10.3 False, Misleading, or Undisclosed Promotional Content

Posting, sharing, or distributing false, misleading, exaggerated, or unverifiable claims about any Digital Asset, project, protocol, team, or performance.
Presenting sponsored, paid, incentivized, or promotional content as organic, independent, or unbiased without clear and appropriate disclosure.
Misrepresenting affiliations, partnerships, endorsements, certifications, or approvals.
Falsely implying that any Digital Asset, project, or Content has been reviewed, verified, endorsed, or approved by CoinLark.

10.4 Impersonation, Identity Misuse, and Deceptive Representation

Impersonating any individual, project, company, organization, or representative without proper authorization.
Misrepresenting your identity, role, authority, or intent when interacting with other Users or third parties.
Claiming to act on behalf of CoinLark, CoinLark, or their partners without express authorization.
Using misleading usernames, profiles, or identifiers designed to confuse or deceive others.

10.5 Automated Access, Data Misuse, and Technical Exploitation

Accessing, interacting with, or extracting data from the Platform through bots, scripts, scrapers, crawlers, data-mining tools, or other automated means without prior authorization.
Copying, harvesting, indexing, aggregating, reselling, or redistributing Platform data for commercial, competitive, or unauthorized purposes.
Reverse engineering, decompiling, disassembling, or attempting to derive source code, algorithms, scoring logic, ranking methodologies, or proprietary systems.
Interfering with, disrupting, overloading, or degrading the performance, integrity, or security of the Platform or its infrastructure.

Engaging in fraud, deception, or misrepresentation, including phishing, social engineering, rug-pull promotion, or coordinated scam activity.
Posting or distributing malware, malicious code, harmful files, or links designed to compromise wallets, accounts, devices, or personal information.
Encouraging, facilitating, or assisting theft, misappropriation, or unauthorized access to Digital Assets, private keys, or accounts.
Using the Platform to launder funds, obscure transaction origins, or facilitate other financial crimes.

10.7 Illegal, Abusive, or Harmful Conduct

Using the Platform in violation of any applicable laws, regulations, sanctions, export controls, or court orders.
Promoting, facilitating, or assisting illegal activities, including but not limited to money laundering, terrorist financing, or sanctions evasion.
Engaging in harassment, threats, intimidation, hate speech, discrimination, or other abusive or harmful behavior toward Users or third parties.
Posting content that is defamatory, obscene, invasive of privacy, or otherwise unlawful or harmful.

10.8 Circumvention, Evasion, and Enforcement Avoidance

Attempting to bypass, evade, or undermine Platform safeguards, monitoring systems, or enforcement actions.
Creating or using new accounts, identities, or technical measures to avoid restrictions, suspensions, bans, or usage limits.
Assisting or enabling others to evade detection, moderation, or enforcement by CoinLark.
Interfering with investigations or providing false or misleading information in connection with enforcement actions.

10.9 Misuse of Brand, Intellectual Property, and Platform Reputation

Using the CoinLark name, logo, branding, or Platform Content without authorization.
Registering domains, social media accounts, or other identifiers that are confusingly similar to CoinLark.
Using Platform Content or branding in a manner that misrepresents affiliation, endorsement, or approval.
Engaging in conduct that damages, dilutes, or harms the reputation or goodwill of CoinLark.

10.10 Attempts, Assistance, and Indirect Violations

Attempting to engage in any prohibited activities above, even if unsuccessful.
Assisting, encouraging, coordinating with, or enabling others to engage in prohibited activities.
Benefiting, directly or indirectly, from prohibited activities conducted by third parties.

CoinLark reserves the right, at its sole discretion, to investigate any suspected violation of this Section and to take any action it deems appropriate, including removing or restricting Content, suspending or terminating accounts, limiting access to features, canceling or forfeiting rewards, reversing Visibility Features, and referring matters to law enforcement or regulatory authorities where appropriate. Failure to enforce any provision of this Section does not constitute a waiver of CoinLark's rights.

11. Intellectual Property Rights

11.1 Ownership of Platform and Platform Content

The Platform, including but not limited to its software, source code, object code, architecture, user interface, design, layout, algorithms, scoring models, ranking methodologies, databases, data aggregation, analytics, dashboards, tools, features, text, graphics, logos, trademarks, service marks, and all other content and materials made available by CoinLark ("Platform Content"), is owned by or licensed to CoinLark and is protected by intellectual property laws, including copyright, trademark, trade secret, and other applicable laws.

Except for the limited rights expressly granted to you under these Terms, no rights, title, or interest in or to the Platform or Platform Content are transferred to you, and all rights not expressly granted are reserved by CoinLark.

11.2 Limited License to Users

Subject to your compliance with these Terms, CoinLark grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform and Platform Content solely for your personal, internal, and non-commercial purposes.

You may not sell, license, sublicense, lease, loan, or otherwise exploit any part of the Platform or Platform Content without the prior written consent of CoinLark.

11.3 Restrictions on Use of Intellectual Property

Without limiting the generality of the foregoing, you agree that you will not:

Use any Platform Content for commercial, competitive, or derivative purposes.
Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, ranking logic, scoring systems, or proprietary methods of the Platform.
Remove, obscure, or alter any copyright, trademark, or proprietary notices.
Create derivative works based on the Platform or Platform Content.
Use Platform Content to train, fine-tune, or develop machine learning or artificial intelligence models without express authorization.

11.4 Trademarks and Branding

The CoinLark name, CoinLark name, logos, trade names, trademarks, service marks, and related branding are the exclusive property of CoinLark or its licensors. Nothing in these Terms grants you any right or license to use any trademark, service mark, logo, or brand of CoinLark without prior written permission.

You may not use any CoinLark branding in a manner that suggests sponsorship, endorsement, partnership, or affiliation without authorization.

11.5 Feedback

If you submit any feedback, suggestions, ideas, or recommendations regarding the Platform ("Feedback"), you acknowledge and agree that CoinLark may use, implement such Feedback for the purpose of Platform enhancement.

11.6 Enforcement and Remedies

CoinLark reserves the right to take appropriate legal and technical measures to protect its intellectual property rights, including monitoring usage, investigating suspected violations, and pursuing civil or criminal remedies where applicable.

Any unauthorized use of the Platform or Platform Content may result in immediate termination of your access to the Platform and may subject you to legal liability.

12. Data Privacy and Third-Party Services

CoinLark is committed to protecting user privacy. The Platform does not provide, sell, or disclose Users' sensitive personal data to third parties. For the purposes of these Terms, "Sensitive Data" means any information that is not publicly displayed on a User's CoinLark profile and any information that a User has explicitly configured with restricted visibility settings such as "only me," "anonymous," or equivalent privacy controls.

Sensitive Data includes, without limitation, private account settings, non-public activity data, private preferences, and any other information that is not intentionally made public by the User through the Platform. CoinLark implements reasonable technical and organizational measures designed to protect such Sensitive Data from unauthorized access, disclosure, or misuse.

Notwithstanding the foregoing, the Platform may integrate with or rely on third-party services, data providers, APIs, blockchain networks, analytics tools, or infrastructure providers ("Third-Party Services") in order to operate and deliver certain features. Any data shared with Third-Party Services shall be limited to what is reasonably necessary for the operation of the Platform and shall not include Sensitive Data.

You acknowledge and agree that CoinLark does not own, control, operate, or endorse any Third-Party Services and makes no representations or warranties regarding their accuracy, availability, security, legality, or reliability. Your use of any Third-Party Services, whether accessed through links, integrations, or references on the Platform, is at your own risk and subject to the terms and policies of such third parties.

The Platform may display links or references to Third-Party Services, including blockchain explorers, exchanges, wallets, analytics providers, or external websites. Such references do not constitute an endorsement, recommendation, or approval by CoinLark, and CoinLark shall not be responsible for any loss, damage, or issues arising from your use of or reliance on such Third-Party Services.

CoinLark reserves the right, at its sole discretion, to modify, replace, suspend, or discontinue any Third-Party Service integration at any time without notice.

13. Disclaimer of Warranties

The Platform, including all content, features, functionalities, services, data, Market Data, analytics, indicators, metrics, rankings, scores, quests, campaigns, tools, sentiment signals, software, and materials made available through CoinLark (collectively, the "Platform Services"), is provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, CoinLark expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, availability, timeliness, title, non-infringement, and freedom from errors or defects.

CoinLark does not warrant or represent that:

The Platform Services will be uninterrupted, continuous, timely, secure, or error-free.
Any defects, errors, bugs, or vulnerabilities will be identified, corrected, or prevented.
The Platform Services will be compatible with all devices, operating systems, browsers, or third-party software.
Any data, analytics, indicators, metrics, rankings, scores, or outputs generated by the Platform are accurate, complete, current, or suitable for any particular purpose.

Without limiting the foregoing, CoinLark makes no warranties regarding any Market Data, pricing information, supply data, market capitalization, volatility metrics, technical indicators, sentiment signals, or other analytics, whether derived from third-party data providers, blockchain networks, or automated systems.

You acknowledge that Market Data and analytics may be delayed, incomplete, inaccurate, or subject to errors, outages, forks, reorganizations, or other technical issues inherent to blockchain networks and external data sources. CoinLark shall not be responsible for any discrepancies, inaccuracies, or omissions in such data.

CoinLark makes no warranties or representations regarding any Digital Asset, Cryptocurrency, project, protocol, or transaction, including but not limited to their legality, regulatory status, value, performance, liquidity, volatility, risk profile, or future outcomes.

The Platform does not provide financial, investment, legal, tax, or other professional advice. Any information made available through the Platform should not be relied upon as a basis for making investment or trading decisions.

CoinLark further disclaims any warranties relating to quests, campaigns, rewards, ranking, including any expectation that participation will result in increased value, or success of any Digital Asset or project.

The Platform relies on Third-Party Services, and CoinLark makes no warranties regarding the availability, accuracy, security, or reliability of such Third-Party Services or their continued integration with the Platform.

Your use of the Platform Services is entirely at your own risk. You assume full responsibility for any decisions, actions, or transactions you undertake based on your use of the Platform.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent that any warranties cannot be disclaimed under applicable law, such warranties shall be limited in scope and duration to the minimum extent required by law.

14. Limitation of Liability

To the fullest extent permitted by applicable law, CoinLark, its affiliates, directors, officers, employees, contractors, agents, partners, and licensors shall not be liable to you or any third party for any losses, damages, or liabilities arising out of or related to your access to or use of, or inability to access or use, the Platform or Platform Services.

Without limiting the foregoing, CoinLark shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

Loss of profits, revenue, income, or business opportunities;
Trading losses, investment losses, or missed opportunities;
Losses resulting from price movements, volatility, liquidity issues, or market conditions;
Losses arising from errors, inaccuracies, delays, or interruptions in Market Data or analytics;
Losses related to quests, campaigns, rankings, rewards, or Visibility Features;
Losses arising from third-party services, integrations, or external websites.

This limitation of liability applies regardless of the legal theory under which liability is asserted, whether in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether CoinLark has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, CoinLark's total aggregate liability to you for any claims arising out of or relating to the Platform or these Terms shall not exceed the amount, if any, paid by you to CoinLark for use of the Platform during the twelve (12) months preceding the event giving rise to the claim.

You acknowledge and agree that the exclusions and limitations of liability set forth in these Terms reflect a reasonable allocation of risk and form an essential basis of the agreement between you and CoinLark. Without such limitations, CoinLark would not be able to make the Platform available to you.

Some jurisdictions do not allow the exclusion or limitation of certain damages or liability. To the extent that any limitation or exclusion is not permitted under applicable law, CoinLark's liability shall be limited to the maximum extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless CoinLark, its affiliates, directors, officers, employees, contractors, agents, partners, licensors, and service providers from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your access to or use of the Platform or Platform Services;
Your violation of these Terms or any applicable laws, regulations, or third-party rights;
Your User-Generated Content, including any allegation that such content infringes, misappropriates, or violates any intellectual property, privacy, or other rights;
Your participation in quests, campaigns, rankings, rewards, or Visibility Features;
Any misrepresentation, omission, or deceptive conduct by you in connection with the Platform;
Your interaction with other Users or third parties, including disputes, claims, or damages arising therefrom.

CoinLark reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with CoinLark in asserting any available defenses.

You may not settle any claim subject to indemnification without CoinLark's prior written consent if such settlement imposes any obligation, admission of liability, or restriction on CoinLark.

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Platform.

16. Termination and Suspension

CoinLark reserves the right, in its sole discretion and at any time, to suspend, restrict, or terminate your access to the Platform or any part of the Platform Services, with or without notice, for any reason, including but not limited to suspected or actual violations of these Terms, applicable laws, or activities that CoinLark determines may pose a risk to the Platform, other Users, or third parties.

You acknowledge and agree that CoinLark may take enforcement actions, including content removal, feature restriction, visibility limitation, reward cancellation, or account suspension or termination, without prior notice and without liability to you.

You may discontinue use of the Platform at any time. Termination of your access does not relieve you of any obligations incurred prior to termination, including obligations under Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and any other provisions that by their nature should survive termination.

CoinLark shall not be liable to you or any third party for any losses, damages, or consequences arising from the suspension or termination of your access to the Platform, including loss of data, content, rewards, visibility, or any perceived benefits.

CoinLark reserves the right to retain, delete, or anonymize User-Generated Content and account-related data following termination, in accordance with applicable laws and its internal policies.

17. Governing Law and Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to the Platform, the Platform Services, or these Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CoinLark is incorporated, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be resolved through good faith negotiations between the parties. If such dispute cannot be resolved through negotiation within a reasonable period of time, CoinLark reserves the right, at its sole discretion, to resolve the dispute through the competent courts of the applicable jurisdiction or through alternative dispute resolution mechanisms, including arbitration, where permitted by law.

To the extent permitted by applicable law, you agree that any claims shall be brought on an individual basis only and not as a plaintiff or class member in any purported class, collective, or representative action.

You agree that any claim or cause of action arising out of or relating to the Platform or these Terms must be commenced within one (1) year after such claim or cause of action arises, otherwise such claim or cause of action shall be permanently barred.

Nothing in this Section shall limit CoinLark's right to seek injunctive or equitable relief in any jurisdiction to protect its intellectual property, confidential information, or other legal rights.

18. Miscellaneous

These Terms constitute the entire agreement between you and CoinLark regarding your access to and use of the Platform and supersede all prior or contemporaneous agreements, communications, representations, or understandings, whether written or oral, relating to the same subject matter.

CoinLark reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Any changes will become effective upon being posted on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or competent authority, such provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Failure by CoinLark to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision, nor shall any waiver be considered a waiver of any subsequent breach.

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of CoinLark. CoinLark may assign or transfer these Terms, in whole or in part, without restriction.

CoinLark shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, governmental actions, labor disputes, power failures, internet or network outages, blockchain network failures, or disruptions caused by third-party services.

Nothing in these Terms shall be deemed to create any partnership, joint venture, agency, fiduciary, or employment relationship between you and CoinLark.

Section headings are provided for convenience only and shall not affect the interpretation of these Terms. Any provisions which by their nature should survive termination or expiration of these Terms shall survive, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
